1. This is an agreement between Kendani.com marketplace (hereafter Kendani.com) and the Vendor submitting this registration.

2. This agreement outlines the responsibilities between Kendani.com and the Vendor for selling products on the Kendani.com marketplace platform.

3. This agreement is valid indefinitely, unless it is terminated by either party according to the terms stipulated herein.

3.1 The Vendor has the right to terminate the agreement with one (1) month notice, calculated as full calendar months. The Vendor is responsible for covering any service fees and other expenses incurred until the end of the notice period.
3.2 Kendani.com has the right to terminate this agreement with one (1) month notice, calculated as full calendar months, in case the Vendor fails to fulfill the requirements of this agreement, except for provisions listed in point 3.3. The Vendor is responsible for covering any service fees and other expenses incurred until the end of the notice period.
3.3 Kendani.com reserves the right to terminate this contract immediately in following cases:

3.3.1 The Vendor is found to have provided fraudulent information about its business practices, that would deem in unfit to benefit from the services of Kendani.com. In such cases the Vendor is liable to compensate Kendani.com with the amount equaling to all the revenue the Vendor has received from sales through Kendani.com over the period of previous five (5) years, with a minimum of 5.000 Euros.
3.3.2 The Vendor fails to cover service fees or other payments within 30 days since said payments fall due, or if the Vendor has been found insolvent.
3.3.3 Closure of Kendani.com marketplace for any reason.

4. Kendani.com provides the Vendor with a reliable and high quality online marketplace that only lists products that are produced with sustainable and ethical business practices. Only Vendors, that fulfill the requirements for such business practices are allowed on the marketplace.

4.1 The Vendor agrees to let Kendani.com assign a score to the Vendor and display the score on the platform.

5. Upon registration the Vendor will fill out a questionnaire used in assessing the Vendor’s level of commitment to sustainable and ethical business practices. The questionnaire serves as the starting point for determining the suitability of the Vendor and a score will be calculated on the basis of the answers.

5.1 The Vendor has the right to update the answers three (3) months after the previous update.
5.2 Kendani.com has the right to request the Vendor for specific information pertaining to the answers and the Vendor’s business practices in order to assess the correctness of the calculated score.
5.3 The Vendor has the right to request for reevaluation if the assigned score is considered unjust.

6. Kendani.com is intended as a sales platform connecting the producer and the consumer directly. Any retailer intending to sell on Kendani.com will require separate permission, and each producer, whose products are intended to be sold, will need to meet the same requirements as any other Vendor on the platform. The retailer is responsible for providing the required information for assessing each of the producers.

7. Kendani.com provides the Vendor with an easy-to-use system for uploading product information, managing orders and communicating with customers.

8. The Vendor has the right to list an unlimited number of products at Kendani.com.

8.1 Kendani.com reserves the right to define whether a product is deemed suitable for sale at the marketplace.
8.2 Kendani.com reserves the right to remove listings of products that are deemed unsuitable for sale at the marketplace.

9. The Vendor agrees to list products at Kendani.com at no higher price than they do on any other online sales channel (including the Vendor’s own website). Any discounts and offers given by the Vendor in other online sales channels will have to be given also for products sold via Kendani.com.

10. The Vendor is required to list their products in appropriate categories, and provide 2-8 pictures of the products on the listing. Any possible allergens or potential hazards of the product need to be included in the listing.

10.1 Any products listed at Kendani.com need to be produced by approved producers, regardless of the Vendor.

11. The Vendor agrees to Kendani.com’s published commission rates and service fees.

11.1 Kendani.com guarantees that all vendors selling at the platform have the same terms and no vendor will be given preferential treatment by Kendani.com.
11.2 Kendani.com reserves the right to adjust commission rates and service fees at any time.
11.3 The Vendor will be informed of these changes a minimum of three (3) months in advance.

12. Kendani.com provides a safe and reliable payment system with several payment options.

13. The Vendor agrees to Kendani.com’s delivery policy.

14. The Vendor agrees to Kendani.com’s refunds and returns policy.

15. The Vendor is required to respond to customer messages, requests or complaints within 36 hours. Kendani.com will track response times and provide a calculated average to help the Vendor to provide prompt service.

16. Any wholesale deal, that has been initiated through Kendani.com, needs to be completed through Kendani.com.

16.1 If at any point it is found out that this provision is violated, Kendani.com has the right to remove the Vendor from the marketplace immediately.

17. Kendani.com reserves the right to change this agreement with a three (3) months notice to the Vendor. If the Vendor disagrees with the changes to this agreement, it is entitled to terminate the agreement immediately. In such cases, any paid service fees or other payments will not be returned to the Vendor.

Kendani.com’s vendor assessment criteria

 

INTRODUCTION

Vendors that are allowed / invited to sell their products through Kendani.com’s platform are required to meet certain level of social, environmental and corporate responsibility. The producers are given a grade depending on their activities in the following three fields:

  1. Social responsibility
  2. Environmental Impact
  3. Corporate responsibility

Kendani.com requires a minimum grade  of 4.0 for any Vendor to be allowed on the platform. On individual cases, a vendor that falls slightly short of the minimum grade can be accepted, provided that they have a feasible action plan to improve their grading to reach the minimum within the next 12 months.

 

CRITERIA

 

1.0 Socially Responsible

Vendors selling through Kendani.com do business in a socially responsible way. They respect the rights of their employees, they support the local community and support social rights at home and abroad.

 

1.1 Employee rights

  • Payment of minimum wages

The vendor adheres to the minimum wage legislation of the country / location where they produce their goods and operate

  • Payment of social security

The vendor adheres to social security legislation of the country / location where they produce their goods and operate. This includes medical insurance, pension contribution, unemployment contribution and other contributions required by the local legislation. In countries where there is no governmental system for social security, the vendor is at minimum required to provide medical care/insurance.

  • Payment of local taxes

The vendor fulfills local tax payment requirements fully as per the tax legislation in the countries/locations where they produce their goods and operate. The company does not engage in tax evasion activities, ie. internal financial transfers to a location with more favourable tax legislation.

  • Not exploiting disadvantaged individuals

The vendor does not take advantage of people in difficult financial situation, suffering from health or mental problems, mentally or physically handicapped individuals, or persons in any other disadvantageous situation.

  • No child labour

The vendor does not exploit children, or source materials or services from any provider that exploits child labour. Kendani.com uses the definition and classification of child labour as identified by International Labour Organisation ILO:

“The term “child labour” is often defined as work that deprives children of their childhood, their potential and their dignity, and that is harmful to physical and mental development.“ (https://www.ilo.org/ipec/facts/lang–en/index.htm)

  • No gender / ethnicity / religious discrimination

The vendor uses fair employment practices and does not discriminate against people based on their gender, ethnicity or religious beliefs. Additionally the vendor supports the employment of minorities and people coming from less advantageous backgrounds.

  • Fair wages

The vendor pays its employees fair salaries, and goes beyond the requirements of minimum wage legislation.

  • Safety of working place

The vendor provides the employees with a safe working place. The vendor adheres to local safety regulations, and when applicable has a production safety programme in place.

 

1.2 Local community

  • Contribute to improving local community

The vendor supports the local community where it produces and operates

  • Paying taxes where the company operates

The vendor fulfills local tax payment requirements fully as per the tax legislation in the countries/locations where they produce their goods and operate. The company does not engage in tax evasion activities, ie. internal financial transfers to a location with more favourable tax legislation.

  • No corruption

The vendor does not engage in corruption or support corruption in any form.

  • Hiring locals

The vendor strives to hire locals and develop their skills.

  • Local sourcing

The vendor sources raw materials, services etc. from local providers.

 

1.3 Social rights

  • Ethical sourcing

The vendor sources materials and services from businesses that operate ethically

  • Fairtrade sourcing

The vendor sources raw materials from providers that have fair trading practices, for instance via Fairtrade.

 

2.0 Environmental Impact

Vendors selling through Kendani.com do business in an environmentally sustainable way. Their production methods, raw-material sourcing and post-production minimise the negative impact on the environment, wherever their production, packaging or distribution takes place.

 

2.1 Production

  • Use of renewable and non-renewable materials and resources

The vendor uses renewable materials and resources as much as possible during the production process

  • Source of energy

The vendor uses renewable energy sources

  • Greenhouse emissions

The production minimises the emission of greenhouse and other pollutants. Whenever possible, the vendor uses filters and other purification to minimise the emissions.

  • Water consumption

The production process minimises the use of water

  • Compliance with environmental legislation

The vendor is in compliance with all local legal environmental requirements. In countries where the legislation is weak or non-existent, the vendor strives to minimise the environmental impact of its operations

  • Production safety

The production process is not harmful for the employees or the surrounding nature. The vendor has responsibility for all possible emissions, has environmental protection policy if necessary, and takes responsibility for cleaning up any spills and restoring the environment that has been affected by the vendor’s actions.

 

2.2 Sourcing

  • Sustainable sourcing

The vendor gets its materials and services from providers that use sustainable production methods.

  • Greenhouse emissions

The vendor gets its materials and services from providers that minimise the greenhouse and other emissions their activities create.

  • Sustainable raw materials

The vendor gets its raw materials and services from providers that use sustainable materials and services.

 

2.3 Post-production

  • Waste management

The vendor has a waste management system in place, and creates a minimum amount of waste.

  • Recycling service

The vendor provides its customers with a recycling service once the product has reached the end of its life.

  • Product lifeline

The products are designed to be durable and have a maximum possible life.

  • Packaging materials

The vendor uses recyclable or biodegradable packaging materials.

 

3.0 Corporate Responsibility

The vendors selling their product at Kendani.com have corporate responsibility at the heart of the business operations. They take responsibility for their actions and have no need to hide their business practices.

 

3.1 Transparency

  • The vendor is transparent about their supply chain. They know who their providers are, what business practices their providers use and they strive to use producers that follow the same ethical and sustainability standards.
  • The vendor is transparent about their financing. They know where the money that funds their operation originates from and they do not engage in money laundering activities or cooperate with organised crime.

 

3.2 Company objectives and values

  • Sustainability and ethical business practices are core values for vendors at Kendani.com. These values are indicated in the vendors’ stated objectives, values and mission statements.
  • The vendor conducts business according to its stated values.

 

3.3 Corporate responsibility reporting

  • The vendor publishes a corporate responsibility report that outlines how the company addresses issues of sustainability and ethical business practices.
  • The vendor follows global standards on corporate responsibility reporting (such as the GRI standards)

 

3.4 Certification and safety

  • The vendor has obtained international or national certifications for its products (sustainability and/or social responsibility)
  • The vendor has taken actions to guarantee the safety of its products and of safety of its production process, both for its employees as well as nature.

 

3.5 Social cause

  • The vendor actively participates in promoting social causes or programmes supporting sustainability.

Kendani.com’s product Values:

 

Organic

Products that are produced using organic production methods and certified organic (by an acceptable agency).

No Plastic

The product and the packaging contain Zero Plastic.

Sustainable

Fully recyclable or Zero Waste products with guidance on recycling the product. Products that minimize environmental harm during production, raw material sourcing and end of life of the product.

Biodegradable

Products that are compostable or biodegradable. Products with compostable or biodegradable packaging.

Fair Trade

Products made of materials sourced with fair trade practices, and certified as such (by an acceptable agency).

UpCycled

Materials reused to create products of higher quality or value than the original. Majority of the used materials are upcycled, desirably 100%

Artisan

Products made by skilled artisans, either completely or majority by hand, with only the help of mechanical or hand-tools.

Ethical

Ethical sourcing of raw materials, and use of fair employment practices. Transparent product information and disclosure. Supporting local communities.

ReCycled

Products made with recycled materials or waste. Majority of the used materials are recycled, desirably 100%.

Vegan

Cruelty-Free products that do not contain animal-derived materials, and produced with no harm caused to animals.

Products that are grown or produced, processed and then sold in vicinity of the buyer (max 100km distance).

Products with the purpose of supporting a social cause. The majority of the profit will go to supporting a social cause.

Kendani.com fees and commission

Being present on Kendani.com is free for the vendor. Kendani.com applies a fixed sales commission to each sale made on the platform. The sales commission is 13,9%, regardless of the product category. The commission is calculated from the price paid for the product, excluding the delivery costs and any taxes.

Other than the sales commission, there are no other fees for selling at Kendani.com.

Kendani.com reserves the right to change the commission and fees at any time. The sellers on platform will be given a 90 calendar days notice prior to changing the fee structure or the commission percentage.

Kendani.com’s Returns and Refunds policy.

 

  1. The customer has the right to cancel any order within 30 minutes from placing the order. The cancellation needs to be done within the time limit via the customer’s orders page at Kendani.com. In such case, the customer is entitled to a full refund, including delivery costs.
  2. In case the delivery of the order is not arranged within 72 hours from placing the order, the customer is entitled to a full refund, including delivery costs. The delivery information needs to be entered into the Kendani.com system within the time limit.
  3. The customer has the right to return any products in original packaging within 14 days of receiving the product. The product has to be unused, undamaged and in original condition. In such cases the return postage is paid by the customer, and the customer is entitled to receive a refund equalling the purchase price of the product, excluding the delivery cost.
  4. Upon receiving a damaged product, the customer is entitled to return the product at the Vendor’s expense, and to receive either a replacement product or a full refund, including all delivery costs. The customer needs to inform the Vendor within a reasonable time of receiving the damaged product.
  5. If the product delivered does not match the description of product sold, the customer is entitled to return the product at the Vendor’s expense, and to receive either a replacement product or a full refund, including all delivery costs. The customer needs to inform the Vendor within a reasonable time of receiving the product.
  6. In case the delivery does not arrive within 14 calendar days from the promised delivery date, the customer is entitled to a full refund, including delivery costs.
  7. The Vendor needs to process the returns and refunds within seven (7) calendar days after receiving the returned product.
